Nexy Partnership Agreement

The purpose of this Agreement is to define the terms and conditions under which the Partner will install and operate Nexy charging stations at their premises and how the partnership will function for both parties.

This Agreement will commence on the January-05 2025 and will remain in effect until terminated by either party with 10 days' written notice. Written notice must be sent to the party’s email at least 10 days in advance.

• Nexy agrees to supply, install, and maintain the charging stations at the Partner’s location(s).
• Nexy will provide customer support and software updates.
• Nexy agrees to offer revenue-sharing opportunities from rental fees or other monetization (if applicable).
• Nexy agrees to refund the deposit as per the terms if the Partner opts out of continuing the service.

• The Partner agrees to host the Nexy charging station(s) at their premises.
• The Partner will maintain a secure and safe environment for the charging stations.
• The Partner is also responsible for providing a regular power supply (15 amp) for the station’s operation.
• The Partner agrees to promote the availability of Nexy charging stations to their customers (optional but recommended).

• The Partner agrees to pay a refundable deposit based on the chosen Nexy station model.
• The deposit will be fully refunded if the Partner decides to discontinue hosting Nexy stations, provided the stations are returned in good condition.
• No fees will be charged unless mutually agreed for extended services (advertising, screen usage, etc.).

• The Partner will receive a percentage of revenue generated from rentals at their location, as specified in this agreement. Payments will be made monthly via e-transfer to the email provided by the Partner, on the first of each month, if the amount exceeds $100.
• Nexy reserves the right to review and adjust revenue-sharing terms with 30 days’ notice.

• Nexy will handle all technical and maintenance-related issues at no additional cost to the Partner.
• The Partner agrees to notify Nexy promptly in the event of any damage or malfunction.

• Either party may terminate this Agreement with 10 days’ written notice.
• Upon termination, Nexy will remove the stations, and the Partner will receive a full refund of the deposit, provided the stations are returned in acceptable condition.

Both parties agree to indemnify and hold each other harmless from any claims, damages, or liabilities arising out of negligence or misconduct.

Both parties agree to keep any confidential information received during the course of the partnership private and secure, unless required by law.

This Agreement shall be governed by and construed in accordance with the laws of the Province of British Columbia, Canada. However, for partners located outside British Columbia, the applicable laws of their respective jurisdiction within Canada or the United States may also apply.

Any amendments to this Agreement must be made in writing and signed by both parties. This Agreement constitutes the entire agreement between the parties and supersedes any prior understandings or agreements.
